4. Payments & Billing
Unless otherwise stated in a written agreement:
Payments are due upfront or according to the schedule outlined in your service agreement
Late payments may result in paused services or delayed deliverables
All fees are non-refundable once work has begun
Monthly services renew automatically unless canceled in accordance with Section 10
You agree to provide accurate billing information and authorize us to charge the payment method on file when applicable.
5. Client Responsibilities
To ensure timely and accurate delivery of services, clients agree to:
Provide necessary content, access, and approvals promptly
Maintain accurate contact and billing information
Respond to communication in a timely manner
Comply with all applicable laws regarding data, privacy, and marketing
Delays in client communication may extend project timelines.
6. Intellectual Property
Company IP
All content, designs, code, strategies, and materials created by Laminar Coaching LLC DBA Laminar Digital Solutions remain our intellectual property until full payment is received.
Client IP
Clients retain ownership of any content, branding, or materials they provide to us.
Licensing
Upon full payment, clients receive a non-exclusive license to use the deliverables for their business purposes unless otherwise stated in a written agreement.
We reserve the right to showcase completed work in our portfolio unless the client requests otherwise in writing.
7. Website Hosting & Security
If hosting or security services are provided:
We take reasonable measures to maintain uptime and protect data
We are not liable for outages, cyberattacks, or third-party service interruptions
Clients are responsible for maintaining secure passwords and access credentials
8. Third-Party Tools & Integrations
Our services may involve third-party platforms such as Google, Meta, hosting providers, CRM systems, and analytics tools. We are not responsible for:
Third-party outages
Policy changes
Account suspensions
Data loss caused by third-party systems
Clients must maintain their own accounts unless otherwise agreed.
9. Limitation of Liability
To the fullest extent permitted by law:

Our total liability for any claim is limited to the amount paid by the client for the service in question
We do not guarantee specific outcomes such as search rankings, revenue increases, or engagement metrics.
10. Cancellations & Termination
Client-Initiated Cancellation
Clients may cancel services by providing written notice according to the terms of their agreement. Fees already paid are non-refundable.
Company-Initiated Termination
We may terminate services for:
Non-payment
Misuse of services
Violation of these Terms
Illegal or unethical business practices
Upon termination, all outstanding balances become due immediately.
11. Privacy
Your use of our website is also governed by our Privacy Policy, which explains how we collect, use, and protect your information.
12. SMS Messaging Terms & Compliance
Program Description: This messaging program sends text messages related to account notifications, project updates, appointment reminders and support communications to customers who have explicitly opted in to receive SMS notifications by submitting a form on our website at www.laminardigitalsolutions.com and have explicitly opted in to receive SMS notifications. Opt-in is collected via web forms with a dedicated, unchecked checkbox for SMS consent.
Cancellation Instructions: You can cancel the SMS service at any time. Simply text "STOP" to the same number that sent you messages. Upon sending "STOP," we will confirm your unsubscribe status via SMS. Following this confirmation, you will no longer receive SMS messages from us. To rejoin, sign up as you did initially, and we will resume sending SMS messages to you.

Supported Carriers: Our SMS program works with all major U.S. wireless carriers, including AT&T, T-Mobile, Verizon, Sprint, and most regional carriers.
Age Restriction: You must be 18 years or older to participate in our SMS program.
